CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted byCNOOC and Shell Petrochemicals Company Limited(hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC HuizhouPhase 3 Ethylene Projectby International Competitive Bidding. Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3. 對(duì)投標(biāo)人的資格和業(yè)績(jī)要求：

（1）資格要求
Requirements for Qualification of Bidder
A．如果投標(biāo)人為境內(nèi)注冊(cè)公司，投標(biāo)人需提供合法有效的企業(yè)法人營(yíng)業(yè)執(zhí)照、稅務(wù)登記證及組織機(jī)構(gòu)代碼證或證照合一的營(yíng)業(yè)執(zhí)照，投標(biāo)時(shí)需提供原件掃描件（原件備查）；
如果投標(biāo)人為境外注冊(cè)公司，需提供有效的公司登記注冊(cè)證明；
A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combinedcertificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);
The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.
B.投標(biāo)人應(yīng)為本次投標(biāo)所投產(chǎn)品的制造商；如投標(biāo)人為制造商同一集團(tuán)負(fù)責(zé)銷(xiāo)售投標(biāo)所投產(chǎn)品的全資子公司、控股子公司（投標(biāo)人應(yīng)提供制造商或其上級(jí)公司證明上述事項(xiàng)的證明文件），則視投標(biāo)人為制造商。
The bidder shall be the manufacturer of the biddingproducts.If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer.

（2）資質(zhì)要求Qualification Requirement
A.投標(biāo)人投標(biāo)產(chǎn)品的防爆等級(jí)不低于Ex db ⅡC T4 Gb，《防爆合格證》應(yīng)由NEPSI、CQST、PCEC、IECEx、ATEX之一或國(guó)家認(rèn)可的其他防爆認(rèn)證機(jī)構(gòu)出具。
A.The bidder's explosion-proof rating of the bid product shall not be lower than Ex db ⅡC T4 Gb, The Explosion-proof Certificate shall be issued by one of the following certification bodies: NEPSI, CQST, PCEC, IECEx, ATEX, or other nationally recognized explosion-proof certification agencies.？
B.投標(biāo)人必須提供制造商的產(chǎn)品在有效期內(nèi)的《中華人民共和國(guó)特種設(shè)備生產(chǎn)許可證》(TS證書(shū))。證書(shū)中制造單位名稱(chēng)、地址和投標(biāo)產(chǎn)品的制造單位名稱(chēng)、地址應(yīng)一致。
B.The bidder must provide a valid ？Special Equipment Manufacturing License of the People's Republic of China (TS Certificate)？ issued to the manufacturer.The manufacturer's name and address on the certificate must match those of the bidding product's manufacturer.
（3）業(yè)績(jī)要求Requirement for Bidder's reference:
****年1月1日至投標(biāo)截止日（以合同簽署時(shí)間為準(zhǔn)），投標(biāo)人應(yīng)在中國(guó)境內(nèi)具有至少2個(gè)應(yīng)用于境內(nèi)項(xiàng)目合同的球閥的供貨業(yè)績(jī)，每個(gè)業(yè)績(jī)均需滿(mǎn)足：
1）含有至少**臺(tái)壓力等級(jí)不小于CLASS ****LB，且有SIL等級(jí)要求的氣動(dòng)全通徑金屬硬密封固定球球閥。
2) 含有至少1臺(tái)口徑不小于**”且壓力等級(jí)不小于CLASS****LB、設(shè)計(jì)壓力不小于**MPA且有SIL等級(jí)要求的氣動(dòng)全通徑金屬硬密封固定球球閥。
同一集團(tuán)全球范圍內(nèi)不同制造商（即同一集團(tuán)旗下的全資子公司或控股子公司或制造工廠(chǎng)）制造的所投產(chǎn)品的業(yè)績(jī)，視為投標(biāo)人所投產(chǎn)品的制造商的業(yè)績(jī)；投標(biāo)人應(yīng)提供說(shuō)明函，說(shuō)明本次所投產(chǎn)品的制造商與滿(mǎn)足上述業(yè)績(jī)要求的產(chǎn)品制造商屬于同一集團(tuán)。

The performance of the products submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the products submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the products submitted in this bid and the manufacturer of the products meeting the above performance requirements belong to the same group.
如果投標(biāo)人為制造商所在集團(tuán)內(nèi)負(fù)責(zé)銷(xiāo)售的公司，應(yīng)提供該制造商的業(yè)績(jī)。
投標(biāo)人須按規(guī)定格式提交業(yè)績(jī)表，并提交相關(guān)業(yè)績(jī)證明文件。業(yè)績(jī)證明文件包括：1）銷(xiāo)售合同和2）用戶(hù)簽字或蓋章的到貨驗(yàn)收材料（到貨驗(yàn)收單或調(diào)試驗(yàn)收?qǐng)?bào)告或其他可以證明合同項(xiàng)下貨物已經(jīng)到貨驗(yàn)收的有效證明材料）。投標(biāo)人所提交的業(yè)績(jī)證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時(shí)間、合同簽署頁(yè)（國(guó)內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國(guó)際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱(chēng)、貨物名稱(chēng)、項(xiàng)目所在地、供貨數(shù)量、壓力等級(jí)、SIL等級(jí)、閥門(mén)口徑、設(shè)計(jì)壓力、閥門(mén)類(lèi)型、閥門(mén)公稱(chēng)通經(jīng)、閥芯和閥座材質(zhì)（或密封形式）、執(zhí)行機(jī)構(gòu)作用方式。
若業(yè)績(jī)合同為年度協(xié)議，除提供年度協(xié)議外，還應(yīng)提供相應(yīng)的已到貨訂單，訂單內(nèi)容或編號(hào)應(yīng)與年度協(xié)議相關(guān)聯(lián)。同一個(gè)年度協(xié)議下提供1個(gè)或以上的訂單及與訂單對(duì)應(yīng)的到貨驗(yàn)收材料均算為1個(gè)有效業(yè)績(jī)。
If the bidder is a sales company within the manufacturer's group, the manufacturer's performance shall be provided.
The bidder shall submit the performance record form in the prescribed format along with relevant supporting documents, which must include:sales contractsanddelivery acceptance materials signed or sealed by the end-user (such as delivery acceptance forms, commissioning acceptance reports, or other valid documentation proving goods acceptance under the contract);all submitted proof documents must contain at minimum:the contract signing date, executed signature pages (with both parties' official seals for domestic contracts, or signatures/seals for international contracts), ？Manufacturer Name, Product Name,Project Location,Supply Quantity, Pressure Rating, SIL Level, Valve Size, Design Pressure,valve type, nominal diameter, valve trim and seat material (or sealing type), and actuator operating mode.
If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidenceunder the same annual agreement is considered as one valid performance.
未提交業(yè)績(jī)證明文件，或通過(guò)所提供的業(yè)績(jī)證明文件無(wú)法認(rèn)定滿(mǎn)足上述業(yè)績(jī)要求的，均視為無(wú)效業(yè)績(jī)。
If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

**.提示Notes
投標(biāo)人進(jìn)入開(kāi)標(biāo)大廳后，需要進(jìn)行簽到操作，等待開(kāi)標(biāo)主持人指令。允許解密后，投標(biāo)人點(diǎn)擊解密按鈕進(jìn)行解密投標(biāo)文件（需解密前在電腦上插入當(dāng)前賬號(hào)綁定的CA），輸入正確的CA密碼。（請(qǐng)注意：如投標(biāo)人未在投標(biāo)截止時(shí)間/開(kāi)標(biāo)時(shí)間前進(jìn)行簽到，原則上將無(wú)法進(jìn)行解密，將被視為撤回其投標(biāo)文件。）
The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)
投標(biāo)文件解密時(shí)限為**分鐘。投標(biāo)人未在上述解密時(shí)限內(nèi)完成解密視為解密失敗，根據(jù)電子招標(biāo)投標(biāo)辦法的規(guī)定，視為投標(biāo)人撤回投標(biāo)文件。
The decryption time limit of the bid documents is ** minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.
投標(biāo)人對(duì)開(kāi)標(biāo)有異議的，應(yīng)當(dāng)在開(kāi)標(biāo)現(xiàn)場(chǎng)提出，招標(biāo)人當(dāng)場(chǎng)做出答復(fù)，并制作記錄。未在線(xiàn)上開(kāi)標(biāo)現(xiàn)場(chǎng)提出的開(kāi)標(biāo)異議，不予受理。
Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
