三、 投標(biāo)人資格要求Bidderqualificationrequirement

3.1 投標(biāo)人要求具有獨立法人資格 , 為此招標(biāo)項目的專業(yè)生產(chǎn)、制造、安裝、調(diào)試的制造商，對其提供的貨物和服務(wù)負(fù)全部責(zé)任；在法律和財務(wù)上獨立，合法運作并獨立于招標(biāo)人（招標(biāo)機(jī)構(gòu)）的制造商（可提供自身品牌或業(yè)主推薦品牌）。

Biddersshallbemanufacturerswithindependentlegalpersonstatus,specializedintheproduction,manufacturing,installationandcommissioningforthisbiddingproject,andshallbearfullresponsibilityforthegoodsandservicestheyprovide.Theyshallbelegallyandfinanciallyindependent,operatelawfully,andbeindependentfromthetenderer(tenderingagency)(theymayprovidetheirownbrandorthebrandrecommendedbytheowner).

3.2 本次招標(biāo)要求投標(biāo)人須提供 ISO 相關(guān)體系認(rèn)證（有效 ISO**** ）及相關(guān)企業(yè)資質(zhì)（包括但不限于營業(yè)執(zhí)照或注冊證書等） , 具有與本招標(biāo)項目相應(yīng)的供貨能力，投標(biāo)人需在投標(biāo)文件中如實寫明中標(biāo)后該批貨物的生產(chǎn)品牌，生產(chǎn)地址，如生產(chǎn)、制造加工基地 。

Forthistender,biddersshallproviderelevantISOsystemcertifications(validISO****certification)andrelevantcorporatequalifications(includingbutnotlimitedtobusinesslicenseorregistrationcertificate,etc.).Theyshallhavethecorrespondingsupplycapacityforthistenderproject,andshalltruthfullystateinthetenderdocumentstheproductionbrandandproductionaddressofthegoods(suchasproductionandmanufacturing&processingbases)iftheywinthebid.

3.3 投標(biāo)人需有相應(yīng)供貨業(yè)績 。

3.4 （中國境內(nèi)的投標(biāo)供應(yīng)商）須提供近三年（ **** 年至 **** 年）經(jīng)審計的財務(wù)報告（經(jīng)會計師事務(wù)所或?qū)徲嫏C(jī)構(gòu)審計的審計報告、財務(wù)會計報表包括資產(chǎn)負(fù)債表、現(xiàn)金流量表、利潤表和財務(wù)情況說明書（或報表附注））。成立日期晚于要求年份的，從成立年起計算。如投標(biāo)人的成立時間不足一個財務(wù)年度的或成立時間超過一個財務(wù)年度但尚未完成該年度財務(wù)審計的，須提供公司出具的財務(wù)報表（加蓋公章）。

中國境內(nèi)投標(biāo)人應(yīng)財務(wù)狀況良好（其中資產(chǎn)負(fù)債率小于 **0% ），沒有處于財產(chǎn)被接管、破產(chǎn)或其他關(guān)、停、并、轉(zhuǎn)狀態(tài)；投標(biāo)供應(yīng)商需承諾不存在進(jìn)入清算程序、被宣告破產(chǎn)或其他喪失履約能力的情形（投標(biāo)供應(yīng)商需在其響應(yīng)文件中提供無上述情形的承諾函）。

如投標(biāo)供應(yīng)商中標(biāo)，采購需求人有權(quán)在合同簽訂前審查其完整的財務(wù)報告，若發(fā)現(xiàn)投標(biāo)供應(yīng)商存在上述情況或風(fēng)險的，采購需求人有權(quán)取消其中標(biāo)資格。投標(biāo)供應(yīng)商需在其響應(yīng)文件中提供其接受上述條款的承諾函。

Bothdomesticbiddersbiddersshallhaveasoundfinancialstatus(withanasset-liabilityratiooflessthan**0%),andshallnotbeinastateofassetcustody,bankruptcy,orotherstatessuchassuspension,closure,merger,orrestructuring.Biddingsuppliersshallcommitthattheyarenotinliquidation,declaredbankrupt,orinanyothersituationthatresultsinthelossofperformancecapacity(biddingsuppliersshallprovidealetterofcommitmentstatingtheabsenceoftheaforementionedsituationsintheirresponsedocuments).

Ifabiddingsupplierwinsthebid,thepurchaser(procuringentity)shallhavetherighttoreviewitscompletefinancialreportsbeforesigningthecontract.Ifthepurchaserdiscoversthatthewinningbidderhastheaforementionedsituationsorrisks,thepurchasershallhavetherighttocancelitswinningqualification.Biddingsuppliersshallprovidealetterofcommitmentintheirresponsedocuments,statingtheiracceptanceoftheaboveterms.

3.5 信譽要求（適用于中國廠家）：

在國家企業(yè)信用信息公示系統(tǒng)（ http://www.gsxt.gov.cn) 、信用中國網(wǎng)站（ www.creditchina.gov.cn ）未被列入嚴(yán)重違法失信企業(yè)名單或失信被執(zhí)行人名單。

3.6 其他要求：投標(biāo)人近三年在中國石油天然氣集團(tuán)有限公司 / 中國石油管道局工程有限公司所屬項目中無重大質(zhì)量事故、安全事故，且與 CPP 無法律糾紛，需提供承諾函。

如制造商為中石油庫內(nèi)供應(yīng)商，能源一號網(wǎng)入網(wǎng)狀態(tài)應(yīng)為：“正?！保ㄡ槍θ刖W(wǎng)企業(yè)）。

商務(wù)評議廢標(biāo)項和技術(shù)評議廢標(biāo)項： 附件3- TBE 和 附件4- CBE 。

OtherRequirements:

Biddersshallhavenomajorqualityaccidents,safetyaccidentsinprojectsunderChinaNationalPetroleumCorporation(CNPC)/ChinaPetroleumPipelineEngineeringCo.,Ltd.(CPP)inthepastthreeyears,andnolegaldisputeswithCPP.Aletterofcommitmentshallbeprovided.
